Independent Contractor Agreement

By accessing and using this site (the "Site"), you have agreed to the following terms and conditions. By completing this Independent Contractor Agreement, you are agreeing to act as an Independent Contractor for Love Travel Host, LLC (the "Company"). As such you agree to the following terms and conditions of this Independent Contractor Agreement. As an independent contractor, you agree to the following terms:

1. Services

The Parties agree to an Independent Contractor Agreement for Contractor to provide services to an established travel agency and to provide booking services of travel, accommodations, tours, cruises, and other travel-related services as directed by the Company. The Contractor agrees to act within the guidelines provided by the Company and any applicable law.

2. Conditions

The Contractor agrees to the following terms upon agreement:

• Independent Contractor Status: The Contractor is an independent contractor and not an employee of the Company.
• Travel Agent Certification/Membership: The Contractor may act as a travel agent on behalf of the Company, and to obtain and maintain the required travel agent certification and membership.
• Company Name: The Contractor may use the Company name as directed and in accordance with Company guidelines.
• Booking Portals: The Contractor shall access online booking portals as provided and authorized by the Company only. The Contractor agrees to all usage rules and policies of said portals.
• Commissions Fund: The Contractor agrees that commissions earned through bookings will be deposited into a commissions fund and distributed to the Contractor per the commission schedule outlined in this agreement and the Company's policies.
• Compensation: The Contractor will receive commissions on bookings based on the tier selected at registration. Commission percentages are 50%, 60%, 70%, 80%, or 90% depending on membership tier.
• Expenses: The Contractor is responsible for all their own expenses incurred in the performance of services under this Agreement, unless otherwise agreed in writing.
• Tools and Equipment: The Contractor shall provide their own tools, equipment, and technology needed to perform the services under this Agreement.

3. Term of Agreement and Renewals

This Agreement will be effective from the date of acceptance for an initial period of one (1) year from the date of execution. The agreement shall automatically renew annually. There may be changes to the commission split or tier pricing during any renewal period.

4. Delay

In the event the Contractor is delayed or prevented from performing any part of the agreed services due to acts of nature, governmental restrictions, supplier delays, technical difficulties, or other circumstances beyond the Contractor's reasonable control, the Contractor shall notify the Company as soon as practicable.

5. Confidential Information

The Contractor agrees to maintain strict confidentiality with respect to any and all information received from the Company and/or its clients. The Contractor agrees not to disclose confidential information to any third parties without the prior written consent of the Company. The Contractor agrees this obligation survives termination of this Agreement.

6. Non-solicitation

During the term of this Agreement and for a period of two (2) years following its termination, the Contractor agrees not to directly or indirectly solicit, recruit, or attempt to recruit any employee or contractor of the Company, or solicit clients of the Company for the benefit of any competing business.

7. Relationship of the Parties

Nothing contained in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between the Parties. The Contractor is an independent contractor and has no authority to bind the Company, accept obligations on the Company's behalf, or represent the Company in any capacity other than as expressly provided in this Agreement.

Commission Structure

Contractor commissions are based on the membership tier selected at registration. The Company shall pay commissions to Contractor from commissions received from suppliers. Payment timelines and minimum thresholds may apply as described in the Company's current policies. The Company reserves the right to adjust commission structures with 30 days' written notice.

Membership Fee Credit

The Contractor may earn a credit equal to 100% of their membership fee if they earn the following minimum commissions within six (6) months of membership signup: • 50% Tier: $100 minimum commissions earned • 60% Tier: $150 minimum commissions earned • 70% Tier: $200 minimum commissions earned • 80% Tier: $250 minimum commissions earned • 90% Tier: $300 minimum commissions earned This credit is applied to the Contractor's account and is not redeemable as cash.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior negotiations, representations, warranties, and understandings between the Parties. No supplement, modification, or amendment of this Agreement shall be binding unless executed in writing by both Parties.

Governing Law

This Agreement shall be governed and construed in accordance with the laws of the State of Florida, without regard to its conflicts of law provisions. The Parties agree to submit to the exclusive jurisdiction of the courts of Florida for the resolution of any disputes arising under this Agreement.

Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

The failure of either Party to enforce any provision of this Agreement shall not be construed as a waiver of that Party's rights to enforce any provision of this Agreement in the future.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed effective upon receipt when sent by electronic mail to the addresses provided by each Party at the time of registration.

Indemnification

The Contractor agrees to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) the Contractor's performance of services under this Agreement; (b) any breach of this Agreement by the Contractor; or (c) any act or omission by the Contractor in connection with the services provided.

Acknowledgment

By accepting this Agreement electronically, the Contractor acknowledges that they have read, understood, and agree to be bound by all terms and conditions of this Independent Contractor Agreement. The Contractor further acknowledges that their electronic acceptance, including their digital signature, name, date, IP address, and device information, constitutes a legally binding agreement.
